1Definitions

• "Studio":Refers to Webrizen, based in Siliguri, West Bengal, India.
• "Service":Refers collectively to the Webrizen website, custom development services, SaaS products, templates, digital resources, e-books, live classes, and any other offerings provided by the Studio.
• "Client" or "User":Refers to any individual or entity accessing or using the Service, whether for paid or free content/services.
• "Custom Development":Refers to bespoke web development services, including custom websites, SEO, performance optimization, and specialized development (e.g., Webflow, Next.js).
• "Digital Products":Refers to all downloadable or accessed products like templates, e-books, and digital resources.
• "Content":Refers to all information, data, text, software, graphics, and other materials on the Service, including both paid and free resources.

2Acceptance of Terms

By using our Service, you confirm that you are at least 18 years of age or possess legal parental or guardian consent and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms, and to abide by and comply with these Terms.

3Services Description

The Studio offers a range of services and products, including:

• •Custom Development Services: Providing specialized services like website design and development, SEO, and performance optimization. These services will be governed by a separate Service Agreement or Statement of Work (SOW) which will complement these T&C.
• •Digital Products: Selling pre-built templates, SaaS products, and various digital resources.
• •Free Resources/CSR Initiative: Offering complimentary content, such as e-books and live classes, provided for educational and promotional purposes. Use of these free resources is still subject to all provisions of these T&C, particularly those related to Intellectual Property.

The Studio reserves the right to modify, suspend, or discontinue any Service with or without notice at any time.

4Intellectual Property Rights

• •Studio Ownership: All intellectual property rights in the Service and its original content, features, and functionality, including but not limited to the design, text, graphics, logos, and digital products (templates, e-books), are and will remain the exclusive property of Webrizen and its licensors.
• •Limited License for Digital Products: Upon purchasing a template or digital resource, the Client is granted a non-exclusive, non-transferable license to use the product for their own personal or internal business purposes. Resale, redistribution, or modification and resale of the Studio's Digital Products is strictly prohibited.
• •Custom Development IP: Unless otherwise explicitly agreed upon in a separate, written Service Agreement, the Client shall own the final, delivered website code and content for Custom Development projects upon full and final payment for the project. However, the Studio retains the right to use the project in its portfolio and to utilize general non-client-specific techniques, concepts, or know-how developed during the project.
• •Free Content: Free resources (e-books, live class recordings, etc.) are provided for personal, non-commercial use only. Reproduction, redistribution, or commercial exploitation of any free content is strictly prohibited.

5User Responsibilities

You agree not to use the Service:

• •In any way that violates any applicable Indian, international, or local law or regulation.
• •To transmit or upload any material that contains viruses, malware, or any other harmful programs.
• •To infringe upon or violate the Studio's Intellectual Property Rights or the intellectual property rights of others.
• •To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm the Studio or users of the Service or expose them to liability.

You are responsible for maintaining the confidentiality of any login credentials associated with any paid or subscription services.

6Payments, Refunds, and Subscriptions

• •Pricing: All prices for Digital Products and services are subject to change without notice. All payments must be made in the currency specified (primarily Indian Rupees (INR) or US Dollars (USD)).
• •Digital Products (Templates, E-books): Due to the nature of digital goods being instantly accessible, all sales of Digital Products are final, and no refunds will be issued, except where required by Indian consumer law or in cases of demonstrable technical failure of the product itself, as determined solely by the Studio.
• •Custom Development/Service Fees: Payment terms for Custom Development will be outlined in the respective Service Agreement or SOW. Typically, these involve an initial deposit, milestone payments, and a final payment.
• •Subscriptions (SaaS): Subscriptions are billed on a recurring basis (e.g., monthly or annually). Cancellation of a subscription will take effect at the end of the current billing cycle. No refunds will be provided for any partial subscription period.

7Third-Party Services and Links

The Service may utilize, integrate with, or contain links to third-party web sites or services (e.g., Sanity CMS, Clerk, payment gateways, APIs).

• •No Endorsement: The Studio has no control over and assumes no responsibility for, the content, privacy policies, or practices of any third-party web sites or services.
• •Third-Party Terms: You acknowledge and agree that the Studio shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services. You should review the applicable terms and policies, including privacy and data gathering practices, of any third-party site to which you navigate from the Service.

8Limitation of Liability

In no event shall Webrizen, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

1. Your access to or use of or inability to access or use the Service.
2. Any conduct or content of any third party on the Service.
3. Any content obtained from the Service.
4. Unauthorized access, use, or alteration of your transmissions or content.

The Studio's liability for any claim arising out of or relating to the provision of the Service shall be limited to the amount you paid to the Studio for the specific service or product in question within the preceding six (6) months.

9Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Siliguri, West Bengal, India for the resolution of any disputes.
